Service Name: Stream All Day ("SAD")

These Terms of Service ("Terms") govern your access to and use of the SAD service, software, websites, dashboards, and
related services (collectively, the "Service"). By accessing or using the Service, you agree to these Terms.
If you are using the Service on behalf of an entity, you represent you have authority to bind that entity, and "you"
refers to that entity.
1) Definitions
- "Twitch" means Twitch Interactive, Inc. and its platform, policies, and services.
- "Channel" means your Twitch channel or other streaming destination you connect to the
Service.
- "Content" means VODs, recordings, clips, audio, video, images, titles, metadata, and other
materials you provide or make available for rebroadcast.
- "Managed Library" means the archived and organized collection of your Content maintained by the
Service.
- "Affiliate / Advertiser" means any person or entity marketing, promoting, or referring users to
the Service, including resellers, referrers, partners, and influencers.
2) Service Overview
SAD is a premium, fully managed service designed to maximize a channel's uptime by archiving Twitch VODs into a managed
library and continuously rebroadcasting them to your Channel on a 24/7 loop.
The Service may include (as available in your plan): 24/7 broadcasting, library management/auto-updates, proactive
monitoring/stability tracking, and included storage.
No Guarantee. We do not guarantee:
- any specific revenue, viewers, subscriptions, or growth;
- uninterrupted uptime (100% availability); or
- that Twitch will accept, display, monetize, or continue to support any stream or ad configuration.
Any examples of results are illustrative only and are not a promise of performance.
3) Eligibility & Account Requirements
You must:
- be at least 18 years old (or the age of majority where you live); and
- have the legal right and authority to operate the Channel and provide the permissions needed to run 24/7 reruns on
it.
You are responsible for maintaining the confidentiality of any dashboard login, tokens, stream keys, or credentials.
Never share your stream key publicly. If you believe credentials are compromised, notify us immediately and rotate your stream
key.
4) Twitch Rules Control
You must comply with Twitch's Terms of Service, Community Guidelines, and monetization/ad policies at all times. If
there is a conflict between these Terms and Twitch's rules, Twitch's rules control for anything happening on
Twitch.
We are not affiliated with or endorsed by Twitch.
5) Your Content: Ownership, Permissions, and License
You keep ownership of your Content.
To provide the Service, you grant Company a limited, worldwide, non-exclusive, royalty-free license to:
- ingest, store, cache, transcode (if needed), organize, and manage your Content in the Managed Library;
- rebroadcast your Content to your Channel (including continuous looping);
- display and use associated metadata (titles, thumbnails you provide, timestamps) solely to operate the Service;
and
- make technical copies as required for backups, redundancy, and performance.
This license continues while you use the Service and for a reasonable wind-down period after cancellation/termination to
process deletion requests, backups, and legal compliance.
You represent and warrant that:
- you own the Content or have all rights/permissions needed (including music/sound recordings, game footage licenses
where applicable);
- your Content does not violate any law, contract, or third-party rights; and
- your Content complies with these Terms and Twitch policies.
6) Prohibited Content & Conduct
You may not use the Service to store, stream, promote, or make available any Content or activity that is:
A) Hate, Harassment, and Discrimination
- Racist content; hate speech; slurs; content promoting violence or dehumanization against protected groups;
- Organized harassment, bullying, or threats.
B) Illegal, Harmful, or Exploitative Content
- Content that violates law or encourages illegal acts;
- Child sexual abuse material (CSAM) or sexual content involving minors (immediate report & termination);
- Non-consensual sexual content or intimate imagery;
- Human trafficking, exploitation, or extortion.
C) Violence & Extremism
- Content promoting terrorist organizations or violent extremist ideology;
- Instructions facilitating serious violence or wrongdoing.
D) Privacy Violations
- Doxxing, sharing private personal info, or stalking;
- Recording/streaming people without necessary consent where required.
E) IP / Copyright Violations
- Pirated movies, TV, music, paywalled content, or any Content you don't have rights to rebroadcast;
- Repeated DMCA/copyright strikes.
F) Platform Manipulation / Fraud / Abuse
- Using the Service to manipulate ad systems, evade enforcement, or commit fraud;
- Botting, fake engagement schemes, or misleading viewers/advertisers;
- Any attempt to probe, scan, or compromise our infrastructure.
We may remove Content, suspend streaming, or terminate accounts immediately for violations, and we may report to law
enforcement where required.
7) Storage, Plans, Fair Use, and Overages
Your plan may include a storage allowance (e.g., 240GB included storage).
If you exceed your included storage:
- we may require you to upgrade, purchase additional storage, or reduce your library size; and/or
- we may throttle ingestion, pause new uploads/archiving, or suspend the Service until you are within limits.
Fair Use / Abusive Use: Even within storage limits, we may restrict usage that is unusually
resource-intensive, abusive, or harmful to other customers or system stability.
8) Billing, Fees, Taxes, Refunds
- Billing: You authorize us (or our payment processor) to charge subscription fees, add-ons, and
applicable taxes.
- Refunds: Unless required by law or stated in a written plan description, fees are non-refundable.
If you cancel, you remain responsible for charges incurred through the end of your billing period.
- Chargebacks: Unresolved chargebacks may result in immediate suspension/termination and restriction
from future use.
9) Cancellation
You may stop using the Service at any time. You can stop by refreshing/rotating your stream key (which prevents the
Service from streaming to your Channel).
You can also cancel through our billing portal. Cancellation ends future billing but does not automatically reverse
already-paid periods.
10) Service Availability, Maintenance, and Monitoring
The Service includes proactive monitoring and stability tracking. However, outages can occur due to maintenance,
failures, third-party providers, Twitch changes, or network issues. We may:
- perform maintenance (scheduled or emergency);
- change features; or
- discontinue parts of the Service.
We do not guarantee uninterrupted, error-free streaming.
11) Ad Settings & Monetization Disclaimer
We may provide general guidance as informational only. You are solely responsible for your Twitch monetization settings
and compliance with Twitch's ad policies. We do not promise ad inventory availability, CPM rates, or monetization outcomes.
12) Security & Acceptable Technical Use
You may not:
- reverse engineer the Service;
- attempt unauthorized access;
- interfere with system performance; or
- use the Service to distribute malware.
We may implement rate limits, technical controls, and verification steps to protect the platform.
13) Third-Party Services
The Service depends on third parties (including Twitch, hosting providers, storage providers, CDNs, payment processors).
We are not responsible for third-party outages, policy changes, enforcement actions, or account restrictions imposed by them.
14) Termination, Suspension, and Enforcement
We may suspend or terminate your access immediately if:
- you violate these Terms;
- you create legal risk for us, our partners, Affiliates/Advertisers, or other users;
- we receive repeated complaints, DMCA notices, or platform strikes tied to your use; or
- your payment fails or you engage in fraud/chargebacks.
Upon termination, we may stop streaming immediately and may delete your library after a reasonable period, unless legal
obligations require retention.
15) DMCA / Copyright Complaints
If we receive a valid copyright complaint or DMCA notice regarding your Content, we may:
- remove or disable access to the Content;
- stop streaming it; and/or
- terminate repeat infringers.

16) Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE
DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- the Service will meet your requirements,
- Twitch will monetize or distribute streams as expected, or
- any data or Content will be preserved without loss.
17) Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- COMPANY WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR
PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, GOODWILL, VIEWERSHIP, OR DATA.
- COMPANY'S TOTAL LIABILITY FOR ANY CLAIM RELATED TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU
PAID TO COMPANY FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
Some jurisdictions don't allow certain limitations; in that case, limits apply to the fullest extent permitted.
18) Indemnification
You agree to defend, indemnify, and hold harmless Company, its owners, employees, contractors, and
Affiliates/Advertisers from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees)
arising out of or related to:
- your Content (including IP/copyright claims),
- your Channel operations and Twitch enforcement actions,
- your breach of these Terms, or
- your violation of any law or third-party rights.
Affiliate / Advertiser Addendum
This Addendum applies to Affiliates/Advertisers promoting SAD, whether paid or unpaid.
A1) No Misleading Claims
You must not make false or misleading claims, including:
- guaranteed income, guaranteed Twitch payouts, guaranteed "100% uptime," or guaranteed ad outcomes; or
- implying Twitch endorsement or partnership.
A2) Required Disclosures (FTC / Local Law)
If you receive compensation, free service, affiliate commissions, or other benefits, you must clearly disclose that
relationship in a manner compliant with applicable advertising laws (including FTC endorsement guidelines in the U.S.).
A3) Prohibited Marketing Methods
No:
- spam (email, DMs, comments, SMS) without consent;
- deceptive ads, fake reviews, or impersonation;
- "blackhat" SEO, malware, forced redirects, or ad injection;
- targeting minors for paid offers where restricted.
A4) Brand & Asset Use
You may only use Company brand names, logos, and creative assets as authorized in writing. You may not register
confusingly similar domains, social handles, or app names.
A5) Affiliate Indemnity
Affiliates/Advertisers agree to indemnify and hold harmless Company for claims arising from their marketing content,
claims, or legal noncompliance.
19) Dispute Resolution; Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law rules. Any dispute must
be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction.
20) Changes to Terms
We may update these Terms from time to time. The "Last Updated" date will change. Continued use of the Service after
updates constitutes acceptance.
By purchasing or using Stream All Day (SAD), you acknowledge that you have read, understood, and agree to be bound by
these Terms of Service.
